VR Group: SAP SuccessFactors Subscription Licences

VR-Group Plc

VR-Group Plc (hereinafter also referred to as "VR" or the "Contracting Entity") is conducting this procurement to establish a long-term agreement for the provision of SAP SuccessFactors cloud subscription services and related license management services. The objective of the procurement is to ensure the continued availability and development of VR's core Human Capital Management (HCM) platform following the expiry of the current agreement. The procurement covers SAP SuccessFactors cloud subscription licences, license management services and related supplier services as further specified in the procurement documents. The selected Supplier shall act as VR's authorized SAP SuccessFactors reseller and contractual partner for the subscription services. The procurement covers the subscription services required for VR Group's current and future use of SAP SuccessFactors. During the contract period, the Contracting Entity may procure additional subscription licences, user volumes, modules and other related services within the scope of the Agreement in accordance with its actual business needs. The subscription services procured under this procurement will support VR Group's HR processes, including employee lifecycle management, performance and goal management, learning, compensation, recruitment, onboarding and other HR functionalities currently used or introduced during the contract period. A more detailed description of the procurement is provided in Annex 1 "Description of the Procurement". This procurement is carried out using an open procedure. The procurement is governed by the Finnish Act on Procurement and Concession Contracts of Entities Operating in the Water, Energy, Transport and Postal Services Sectors (Act 1398/2016, as amended). Tenders must comply with all requirements set out in this Contract Notice, the Invitation to Tender and their annexes.

This procurement is conducted for the benefit of VR-Group Plc and its group companies. At the commencement of the procurement procedure, the procurement covers, among others: - the relevant VR Group companies operating in Finland, including VR FleetCare Ltd; - VR Sverige AB and VR Snabbtåg Sverige AB in Sweden; and - VR Services Latvia SIA, should the Contracting Entity decide to extend the use of the services to Latvia during the contract period. This procurement constitutes a joint procurement by VR-Group Plc and VR Snabbtåg Sverige AB within the meaning of Article 57(4) of Directive 2014/25/EU, Section 32(3) of the Finnish Act on Procurement and Concession Contracts of Entities Operating in the Water, Energy, Transport and Postal Services Sectors (1398/2016), and Chapter 7, Sections 9, 12, 13 and 14 of the Swedish Utilities Procurement Act (2016:1146). VR-Group Plc conducts the procurement procedure on behalf of both VR-Group Plc and VR Snabbtåg Sverige AB and is responsible for all stages of the procurement procedure, including any procurement rectification or appeal proceedings. The procurement procedure is governed by Finnish procurement legislation, and the Finnish Act on Procurement and Concession Contracts of Entities Operating in the Water, Energy, Transport and Postal Services Sectors (1398/2016) applies to the procurement. Although only VR-Group Plc and VR Snabbtåg Sverige AB are identified as the contracting entities for procurement law purposes, the Agreement may be utilised by all VR Group companies referred to in the procurement documents.

The Agreement shall enter into force upon signature by both Parties and shall remain in force for an initial fixed term of twenty-seven (27) months. Thereafter, the Contracting Entity shall have the unilateral option to extend the Agreement for up to two (2) additional periods of twelve (12) months each under the same terms and conditions by providing written notice to the Supplier before the expiry of the then-current contract period.

Subject of request for rectification A concerned party who is dissatisfied with a decision of the contracting entity or with some other resolution made in a procurement procedure may request rectification of procurement under sections 132 to 135 of the Procurement Act. A request for rectification is made in writing to the contracting entity. A request for rectification may be made by a concerned party as defined above. Time limit for submitting a request for rectification A concerned party must request rectification of procurement within 14 days of receiving notice of the decision of the contracting entity together with instructions for appeal. The request for rec-tification must be submitted by the date when the time limit for submitting the request expires, with-in office hours (i.e. by 16.15 Finnish time). The day of notice is not included in the calculation of the time limit. If the last day for submitting a request is a bank holiday, Independence Day (6 December), the First of May, Christmas Eve, Mid-summer Eve or a Saturday, the request for rectification may be submitted on the first weekday fol-lowing that day, within office hours.
