Hansel Oy

This framework agreement covers the provision of charter flights for passengers and cargo to customer-specific destinations and in accordance with customer-specific timetables. The flights may be regular or non-recurring. The framework agreement does not cover air transport services provided with helicopters. Charter flight services shall fulfill the regulations of the European Union’s mandatory legislation and of mandatory Finnish laws and decrees as well as regulations issued by the Finnish authorities. The framework agreement is divided into three (3) lots: - LOT 1 Small Business Aircraft - LOT 2 Large Passenger Aircraft - LOT 3 Cargo Charter. Tenderer may submit a tender for one, two or all three lots. Other kind of partial tenders are not accepted. The subject of the framework agreement is described in more detail in the Call for Tenders and its annexes. A tenderer may submit tender for one, two or three lots. THE SCOPE OF THE CALL FOR TENDERS Appendix A "Customers and destinations" of the Call for Tenders indicates the customers who are entitled to use the framework agreement, the possible destinations during the agreement term and the estimated number of flights per year. The lots 1 and 2 of the framework agreement are covered by the Government Decree on Joint Procurement in Central Government (765/2006) and the Ministry of Finance Decision on Joint Procurement by the Central Government (766/2006). According to these regulations, government agencies and institutions of the state budget economy shall, in principle, use centrally procured contracts.

Lot 1 covers provision of charter flights for passengers with small business aircraft. Requirements for the lot 1 are outlined in the Call for Tenders and its appendices, in particular in Annex 1a "Subject-matter LOT 1". The usage of the lot 1 services in the previous framework agreement of Hansel was the following: - 103 charter flights with small business aircraft - one (1) ambulance and medical evacuation flight for one (1) patient - 80 % of the departures were from Helsinki-Vantaa Airport, 10 % of the departures were from other airports in Finland and 10 % of the departures were from abroad - destinations were mainly to Europe and Middle East - about 90 % of the flights were round-trip flights and about 10 % of the flights were one way flights. According to the customers, departures are going to be mainly from Helsinki-Vantaa Airport (EFHK) and Tampere-Pirkkala Airport (EFTP). Possible destinations for the forthcoming contract term are listed in the Annex A "Customers and Destinations". The estimated amount of flights per year for the forthcoming contract term is stated in the Annex A "Customers and Destinations". When taking into account the nature of the service, international circumstances are affecting for the need of the charter flight service. Therefore the actual usage of the framework agreement may differ from the previous framework agreement and the estimations of the customers. The estimated value of lot 1 during the contract term is 5 000 000 - 9 000 000 euros (VAT 0 %), including option period. The maximum value of lot 1 is 9 000 000 euros (VAT 0 %). These figures are based on information provided by customers entitled to use the framework agreement and estimates made by Hansel. CONTRACT TERM The term of the Agreement is three (3) years. Hansel has the right to extend the contract term by a maximum of one option period of one (1) year. Hansel will notify of the possible exercise or non-exercise of the option period no later than six (6) months before the end of the Agreement. The charter flights based on the Agreement shall not be flown before October 2025. Services based on the framework agreement can be provided during the term of the Agreement and service contracts. After the expiry, termination, or cancellation of the Agreement, new orders can no longer be made. All charter flights shall be flown within three (3) months period after the expiration of the Agreement. In addition, the contract term for the service contract may exceed three (3) months at the maximum the contract term of the Agreement. The terms and conditions of the Agreement shall be applied to such flights and service contracts even after the expiry of the Agreement.

Lot 2 covers provision of charter flights for passengers with large passenger aircraft. Requirements for the lot 2 are outlined in the Call for Tenders and its appendices, in particular in Annex 1b "Subject-matter LOT 2". The usage of the lot 2 services in the previous framework agreement of Hansel was the following: - 24 charter flights with large passenger aircraft - zero (0) ambulance and medical evacuation flights - 21 % of the departures were from Tampere-Pirkkala Airport, 13 % of the departures were from Helsinki-Vantaa Airport, 17 % of the departures were from other airports in Finland and 50 % of the departures were from abroad - destinations were mainly to Europe and Middle East - about 70 % of the flights were one way flights and about 30 % of the flights were round-trip flights. According to the customers, departures are going to be mainly from Helsinki-Vantaa Airport (EFHK) and Tampere-Pirkkala Airport (EFTP). Possible destinations for the forthcoming contract term are listed in the Annex A "Customers and Destinations". The estimated amount of flights per year for the forthcoming contract term is stated in the Annex A "Customers and Destinations". When taking into account the nature of the service, international circumstances are affecting for the need of the charter flight service. Therefore the actual usage of the framework agreement may differ from the previous framework agreement and the estimations of the customers. The estimated value of lot 2 during the contract term is 2 000 000 - 4 000 000 euros (VAT 0 %), including option period. The maximum value of lot 2 is 4 000 000 euros (VAT 0 %). These figures are based on information provided by customers entitled to use the framework agreement and estimates made by Hansel. CONTRACT TERM The term of the Agreement is three (3) years. Hansel has the right to extend the contract term by a maximum of one option period of one (1) year. Reference requirement: REQUIREMENTS FOR LOT 1: The tenderer shall have organized eight (8) charter flights to a customer or customers with the aircraft type/types stated in the Annex 1a "Subject-matter LOT 1" of the Call for Tenders, section 3.2. All the organized charter flights shall be flown between 28.5.2022-27.5.2025. Flight to risk or crisis area: At least one (1) of the organized charter flights shall be organized to risk or crisis area. The organized charter flight to risk or crisis area shall be flown between 28.5.2022-27.5.2025. Deportee flight: At least one (1) of the organized charter flights shall be a deportee flight. The organized deportee charter flight shall be flown between 28.5.2022-27.5.2025. Ambulance or medical evacuation flight: At least one (1) of the organized charter flights shall be an ambulance or medical evacuation flight. The organized ambulance or medical evacuation charter flight shall be flown between 28.5.2022-27.5.2025. The tenderer shall fill in the Annex C.1 "Reference Form LOT 1" in accordance with the instructions and requirements set in the annex. The tenderer shall upload the filled in annex to the tab "Enter procurement object information" of the eTendering system. REQUIREMENTS FOR LOTS 1, 2 AND 3: If the tender is submitted as a group, the members of the group may meet the reference requirements together. If the tender is submitted as a group, the group leader shall submit ESPD-forms for completion in the eTendering system to other members of the group. See instructions from the Appendix E "Instructions for resource units, group members and subcontractors in the ESPD-form". Moreover, the tenderer may rely on the resources of other entities (resource units) in order to meet the reference requirements. The capacities of other entities may be used to meet reference requirements only if the resources of the resource units are in the tenderer's use while executing the procurement. If the tenderer relies on the resources of resource units in order to meet the reference requirements, the tenderer shall submit ESPD-forms for completion in the eTendering system to the resource units.
