The object of procurement is a to deliver on commercial, financial, environmental & social and technical due diligence and market study assignments to enable successful investments in digital infrastructure and solutions sphere under EFSD+ guarantee Africa Connected (the Programme) program (https://international-partnerships.ec.europa.eu/funding-and-technical-assistance/funding-instruments/european-fund-sustainable-development-plus-efsd_en). A more detailed description of the Service is available in Annex 1.1 TOR DIS Assignments. The Framework Agreement is divided into seven (7) lots: 1. Capital raise (loan or equity) / Exit execution support assignment 2. Commercial Due Diligence assignments 3. Financial Due Diligence assignments 4. Technical Due Diligence assignments 5. Market study assignments 6. Pipeline building assignments 7. Environmental & Social Due Diligence assignments The procedure for awarding contracts based on the Framework Agreement, including their terms, is described in Annex 1 "Framework Agreement". The Framework Agreement will enter into force on X.X.2024. The Framework Agreement expires on 31.12.2029. Orders and Order Agreements may only be concluded during the term of the Framework Agreement. The Order and the Order Agreement may be valid for a maximum of six (6) months after the termination of the Framework Agreement. The terms of this Framework Agreement shall apply to the Order Agreement and Orders until the termination of the Order Agreement. The Framework Agreement does not include any obligation to buy the Service, nor does it give any exclusive right to provide the Services stipulated in the call for tenders.

The term of the Contract exceeds four (4) years due to EU funding that affects the subject of the Framework Agreement. The Contracting Entity has received funding in accordance with the European Union contribution agreement (NDICI EFSD+/2023/452–505).

All those tenderers who meet the selection criteria and the minimum requirements for the procurement object will be included in the Framework Agreement.
The procedure for awarding contracts based on the Framework Agreement, including their terms, is described in Annex 1 "Framework Agreement" and in the contracting notice, in the point "Decision-making criteria".
The Framework Agreement will enter into force on 1.7.2024. The start date of the Agreement is an estimate. The Framework Agreement expires on 31.12.2029.
Orders and Order Agreements may only be concluded during the term of the Framework Agreement. The Order and the Order Agreement may be valid for a maximum of six (6) months after the termination of the Framework Agreement. The terms of this Framework Agreement shall apply to the Order Agreement and Orders until the termination of the Order Agreement.
