Helen Ltd's Sea Water System Project Alliance (Sea Water Heat Recovery Project)

In this procurement, Helen Ltd (later "Contracting Authority") is seeking a construction company as an excellent alliance partner for implementing the sea water system part of the Contracting Authority's Sea Water Heat Recovery Project. The project consists of two parts: 1. Sea Water System, and 2. Salmisaari Heat Pump Plant.
This project alliance procurement concerns the part 1: Sea Water System only but excavation works related to the part 2 will be included to this procurement as an option.
The project alliance scope covers all necessary work for the full completion of the Sea Water System. The preliminary technical scope covers e.g. process planning and optimization of the Sea Water System part of the Sea Water Heat Recovery Project, construction and excavation on urban industrial area in Helsinki as well as tunneling under the Baltic Sea, project management and coordination, procurement as well as design and implementation of the required equipment.
The preliminary plan for the excavation method of water intake and discharge tunnels is to use the tunnel boring (TBM) technology together with drill & blast method.
The target year for commissioning is 2029 but commissioning may be partly possible already earlier.
In this procurement, the Contracting Authority is targeting to ensure the preconditions of smooth cooperation and success for the execution and duration of the Alliance. The Contracting Authority is looking for the winning candidate with best preconditions to achieve truly excellent results in an Alliance together with the Contracting Authority. Therefore, the competitive negotiated procedure is emphasized as workshops, similarly to the Australian alliance model. The Contracting Authority appreciates Tenderer Candidate's alliance experience and experience in projects similar to the project in question.
This procurement is not divided into lots as chosen procurement model will enable project implementation in a tight time schedule and deliver significant synergies.
The Contracting Authority may offer supply chain financing possibility to the awarded Tenderer on a later phase of this procurement. Main benefits of the supply chain financing to the Tenderer would then be for example improving cash flow, intensification in working capital and improving revenue percent of return on investment (ROCE). By joining the supply chain financing program, the Tenderer would have a possibility for significant improvement on payment terms. Contracting Authority's partner in supply chain financing is a trusted and reputable Nordic financing services group.
Please note that in order for the Tenderer Candidate to be considered as an eligible candidate and invited to the negotiations referred to in section II.2.9 the Tenderer shall in writing confirm that it, or its owners, ultimate beneficiaries, subcontractors, affiliates or their respective officers, directors or representatives is not subject of any trade sanctions (including but not limited to trade embargoes, asset blocking/freezing, and other financial restrictions, foreign trade controls, export controls) imposed under any law, regulation, decree, ordinance or legally binding order, rule or requirement of the United Nations or under the laws of the European Union, any EU Member State, United Kingdom, the United States of America, or Switzerland, or other European country (hereinafter referred to as “Sanctioned Person and / or Entity”).
Please further note that the Contracting Authority will investigate (during the procurement phase) whether the Tenderer Candidate is considered as a Sanctioned Persons and / or Entity. In the event it is discovered that the Tenderer Candidate / Tenderer is considered as a Sanctioned Person and / or Entity, the Tenderer will not be awarded in this procurement and / or chosen as a Tenderer Candidate.

SEA WATER HEAT RECOVERY SYSTEM
Helen Ltd. as the Contracting Authority has been conducting a preliminary feasibility study during 2020-2021 on different alternatives for sea water heat recovery. Drivers for investigation have been Contracting Authority's carbon neutrality goals and decision to mainly replace fossil-based production with non-combustion-based energy sources, such as various waste and environmental heat sources.

PROJECT ALLIANCING
Project Alliancing is considered as a project delivery method for Sea Water Heat Recovery System due to the complexity and cooperation requirements of the project.
ALLIANCE PARTNER
The Contracting Authority's main target in this procurement is to find a first-class project alliance partner with the best preconditions to achieve truly excellent results in an alliance together with the Contracting Authority.
The project is implemented as a project alliance where the Contracting Authority and the selected construction company form an alliance, plan and implement the project together and share the risks and opportunities related to the project in accordance with the ”All win – all lose” principle. The alliance partners will together select the expertise needed in the project, such as the engineering consultants, sub-contractors and equipment suppliers (to be approved by the Alliance Management Group), according to the “For the benefit of the project” principle. The alliance partner (construction company) shall have suitable experience in implementing the tunneling project(s) with the TBM method and the drill & blast technique in accordance with the procurement documents.

TIME SCHEDULE
The Contracting Authority aims to award the winning Service Provider in June 2022 (earliest possible, subject to changes). The Development Phase is estimated to start in September 2022 and Execution Phase in December 2024.
COMPETITIVE NEGOTIATED PROCEDURE
The chosen procurement method in this procurement is competitive negotiated procedure that is emphasized as workshops, similarly to the Australian alliance model.
NDA
Contracting Authority advises the Tenderer Candidate to sign and provide the NDA (Appendix 5) already in EU Procurement Notification phase at the earliest convenience to the Tenderer Candidate and preferably latest on 1st of April. The NDA shall be sent via email to riikka.olkkonen@helen.fi. The Contracting Authority will then provide appendices subject to NDA, such as Appendix 32 (Helen-Sea_water_tunnel-Design_report-Phase_2-2021-12-20).

The Contracting Authority will request following valid documents (no older than three (3) months from the date submitted) in Finnish or in English language and verify the fulfillment latest on the agreement signing phase:
1. Extract from the Trade Register or relevant verification according to the Tenderer's local legislation.
2. A certificate of taxes paid from the Tenderer's local tax authority or an account that a payment agreement has been made on overdue tax payments
3. Certificates of pension insurance and payment of pension insurance premiums or an account that a payment agreement has been made on overdue pension payments.
4. A description of the collective agreement used
5. Copy of the occupational injury insurance.
6. A description of occupational health care.
If the requirements are not met, the Contracting Authority may exclude the Tenderer Candidate / Tenderer from this procurement.
If the Tenderer Candidate / Tenderer has registered to Vastuu Group's Reliable Partner service, the Tenderer Candidate / Tenderer does not need to deliver the above mentioned extracts and certificates to the Contracting Authority.
The winning Service Provider shall comply with the provisions of the Act on Posting Workers (447/2016). If it uses posted workers, the Service Provider shall set (before signing the contract) a representative in Finland, who shall have an address in Finland and who speaks Finnish. The Service Provider shall deliver (before signing the contract) among others certificates of accident and pension insurances of the posted workers working at the Contracting Authority's site in Finland.

The Tenderer Candidate shall have sufficient economical and financial conditions to accomplish the project described in this EU Procurement Notification.
Economical and financial conditions are evaluated basing on information in Tenderer Candidate's solvency, liquidity, profitability and credit rating results. The Tendering Candidate shall have minimum of Rating 5A2 in D&B Rating or A2 in Nordic Triple-A Rating (Dun & Bradstreet) or similar result basing on the financial statement of the Tendering Candidate.

Comparison and scoring is used only if the number of eligible Tenderer Candidates is more than three (3). In that case the Contracting Authority will apply the criteria for reduction of the Tenderer Candidates and shortlist 3-6 best qualified Tenderer Candidates with highest points to be invited to the negotiations. If more than six (6) Tenderer Candidates fulfill the eligibility requirement and several Tenderer Candidates reach the same total score than the sixth Tenderer Candidate, highest score from section 2 rock construction: rock tunnel implementation (TBM or D&B) will be used to select the Tenderer Candidate to be invited to negotiations until there are six (6) candidates invited.

The Contracting Authority may decrease number of Tenderers to two (2) based on the workshops and interviews.
Tenderer Candidate shall meet all the eligibility requirements mentioned in ESPD and in "Other terms and conditions / Technical Capacity and Professionality" to be chosen as a tenderer. Possible elimination will be accomplished by comparing and scoring the results in technical references submitted by the Tenderer Candidate in written mode (Appendix 4 References).
