Service flight services

Hansel Oy

This framework agreement covers the provision of service flight services (customer specific destinations and timetables) in accordance with this Invitation to Tender and with aviation legislation and regulations. This framework agreement does not cover air transport services provided with helicopters. The service flight services are passenger and/or cargo flights.

Registration

Requirement

The tenderer shall be registered in the professional or trade register of its domicile country (i.e. in Finland the Trade Register maintained by the National Board of Patents and Registration of Finland).

Information to be provided

If later requested by Hansel, the chosen supplier shall provide relevant certificates (company registration document) before concluding the Agreement.

The tenderer meets the requirement and agrees to provide the relevant certificates at a later stage.

The tenderer and/or its subcontractors operating the service flight services shall have valid certificates and licenses to operate commercial flights according to EU legislation.

The chosen supplier shall provide relevant certificates before concluding the Agreement if requested by Hansel.

The tenderer assures it meets the requirement and agrees to provide the relevant certificates and licences at a later stage.

Economic and financial standing

Information to be provided

The tenderer meets the requirement and agrees to provide the relevant information at a later stage if requested.

Hansel is using the services of Dun & Bradstreet, Inc. (D&B) to analyze tenderer's financial situation. In case the tenderer's data cannot be found in D&B's database, Hansel can use another international service provider.

Hansel can also require the tenderer to provide Hansel with the last audited financial statement for analysing purposes.

If later requested by Hansel, the chosen supplier shall provide the information on their financial accounts for the last accounting year (including profit and loss account, balance sheet) before concluding the Agreement.

Insurance

The tenderer assures it meets the requirement and agrees to provide the relevant information at a later stage if requested.

Payment of taxes and social security fees and exclusion criteria in the Act on Public Contracts

The chosen supplier shall provide evidence concerning section 1 before concluding the Agreement. If required by the contracting authority, the chosen suppliers shall also provide evidence concerning section 2 before concluding the Agreement.

The tenderer assures it meets the requirement and agrees to provide the relevant information at a later stage.

Economic and financial standing

Requirement

The tenderer's economical standing and financial solvency is sufficiently stable to provide the customer with the services that are the subject-matter of the framework agreement.

Hansel is using the services of Dun & Bradstreet, Inc. (D&B) to analyze tenderer's financial situation. The tenderer must have Risk Indicator 3 or better in the D&B risk indicator. If the Risk Indicator of the tenderer does not meet the above-mentioned rates, Hansel may exclude the tenderer. Hansel shall inspect the risk indicator the day after the deadline for the receipt of the tenders.

In case the tenderer's data cannot be found in D&B's database, Hansel can use another international service provider.

Hansel can also require the tenderer to provide Hansel with the last audited financial statement for analysing purposes.

If the tenderer is a group, these requirements shall be met by each of its members individually.

The tenderer agrees that Hansel has the right to examine the tenderer's financial credit information through the services provided by Dun & Bradstreet (D&B).

Insurance

The tenderer or its subcontractors providing the service shall have insurance as defined in Regulation No 785/2004 EC as amended by respective regulations.

Payment of taxes and social security fees and exclusion criteria in the Act on Public Contracts

The tenderer has fulfilled obligations relating to the payment of taxes or social security contributions in Finland or in the country in which he is established. The obligations shall be fulfilled by the deadline for the receipt of the tenders. The tenderer is not subject to exclusion criteria as defined in Section 53 of the Act on Public Contracts.

If the tenderer is a group, these requirements shall be met by all its members individually.

The tenderer shall take into account when drawing up its tender the obligations relating to taxes, to environmental protection and to working conditions as defined in Section 50 of the Act on Public Contracts.

The tenderer assures:

1) that it has paid all the taxes and social security payments; and if there is tax debt or unpaid social security payments, the tenderer shall provide all necessary statements (scheme of payment) if requested.

2) that a person having powers of representation, decision or control in respect of the tenderer has not been convicted by judgement that has the force of res judicata for any offence concerning his professional conduct as specified in Section 53 of the Act on Public Contracts.

3) that it has taken into account, when drawing up its tender, the obligations relating to taxes, environmental protection, employment protection and the working conditions which are in force in the place where the service is to be provided.

Subcontracting

Information to be provided

The tenderer shall provide the following information of its' subcontractors:

— name of the company

— Company registration number/VAT number

— contact person (name and position, phone, e-mail, address

— description on how the subcontractor takes part in the service provision

If tenderer uses subcontractors, it shall attach to its tender Annex 6 Subcontractors of the Invitation to tender in which it gives the required information. The Annex shall be annexed to the Agreement.

If the tenderer uses subcontractors, it assures that it meets the requirement and annexes to the tender the Annex 6 of the invitation to Tender (“Subcontractors”)

References

The tenderer shall provide the following information about the references that meets the requirements mentioned in the Invitation to tender:

— The name of the government organization or enterprise

— The type of the reference (Military groups or equipment)

— The amount of the flight hours

— Contact person for the reference

— Is the reference confidential or not

Accidents

Service Operations

The chosen supplier shall provide evidence of its service operations and their authorisations if the Customer so requires.

The tenderer assures it meets the requirement and agrees to provide the required evidence at a later stage if so required.

Environmental management measures

The tenderer shall provide the following information about the environmental management measures taken to ensure that the requirements mentioned above are met:

— What actions the tenderer has taken in order to reduce the environmental impact of its aviation operations regarding:

– aircrafts

– training staff

– guiding subcontractors

– flight route planning

– handling hazardous substances

– recycling

– service operations

The tenderer assures it meets the requirement and annexes to the tender the required information.

The Annex Environmental management measures shall be annexed to the Agreement.

Vähimmäistaso(t):

Subcontracting

Subcontractors' resources which are listed in the tender shall be available to the tenderer.

The aircrafts shall be available to the customers' use without a separate order approval of the aircraft's owner or other third party.

The tenderer commits to the terms and conditions concerning subcontracting presented in Annex 3 (the Agreement). The subcontractors listed on this tender form will be named in the Agreement. The supplier's possibility to remove and/or add subcontractors is restricted (see Agreement).

The tenderer shall list the subcontractors which take part in providing the services that are specified in this invitation to tender (for example aircraft providers, maintenance, crew leasing).

References

The tenderer or its subcontractors shall have references from providing the service flight services.

The tenderer shall possess at least four (4) references concerning service flight services which meet the following requirements:

— The references shall not be older than three (3) years (after March 2011)

— Each reference must include at least 50 flight hours during the contract period

— At least two (2) of the references shall include transportation of military or related groups (e.g. humanitarian aid)

— At least two (2) of the references shall include the transportation of military equipment as a cargo.

Operation ban

The tenderer affirms that the aviation authorities have not limited the tenderer's or its subcontractor's air operations during the last three years for reasons having to do with personnel competence/training or the condition or maintenance of aircraft and that neither the tenderer nor its subcontractor are subject to an operation ban in the EU under EU regulation 2111/2005/EC.

Accidents

The tenderer or its subcontractors providing the service shall not have had any accidents within the previous three years.

An accident is defined in the Annex 13

to the Convention on International Civil Aviation.

Service Operations

The tenderer affirms that the service operations of the aircrafts used to provide the services in question are authorised by the aviation authorities EASA Part 145 or FAR Part 145.

Environmental management measures

The tenderer shall apply environmental management measures when providing charter flight services. The environmental management measures used can be based on the tenderer's own environmental management system or a system created by an external auditor or it can be based on a standard (i.e. EMAS or ISO 14001).
