Agency Service for Non-Finnish Literature 2014 - 2018

Hansel Oy

Subject-matter of the framework agreement is agency service (service provision) of non-Finnish literature with its complimentary services as an order-delivery process from the service provider to the customer at the delivery address(es) specified by the customer.
The customer makes orders mainly by using the service provider's electronic ordering system.
The service provider must be able to provide literature at least in following languages:
- English,
- German,
- French,
- Scandinavian (Swedish, Danish, Norwegian, Icelandic).
The subject-matter of the framework agreement does not cover non-commercial material, e.g. publications produced by universities and societies/associations. However, customer is entitled to purchase these products if the service is provided by the service provider.
Publishing or printing of literature or agency services of periodicals is not included in the subject-matter of the framework agreement.

Vaihtoehtojen kuvaus:

The universities of applied sciences operating in Finland may join the framework agreement if they become Hansel clients as determined by the legislation about Hansel and receive government funding to operate during the contract period.

Requirement

The tenderer shall be registered in the professional or trade register of its domicile country (i.e. in Finland the Trade Register maintained by the National Board of Patents and Registration of Finland).

Information to be provided

If later requested by Hansel, the chosen service provider shall provide relevant certificates (company registration document) before concluding the framework contract.

The tenderer shall meet the requirement and agree to provide the relevant certificates at a later stage.

Economic and financial standing

Information to be provided

If later requested by Hansel, the chosen service provider shall provide the information on their financial accounts for the last accounting year (including profit and loss account, balance sheet) before concluding the framework contract.

The tenderer shall meet the requirement below and agree to provide the relevant information at a later stage.

Payment of taxes and social security fees and exclusion criteria in the Finnish Act on Public Contracts (348/2007)

The chosen service provider shall provide evidence concerning section 1 Economic and Financial Standing Requirements below before concluding the framework contract. If required by Hansel, the chosen service provider shall also provide evidence concerning section 2 Economic and Financial Standing Requirements below before concluding the framework contract.

The tenderer shall meet the requirement and agree to provide the relevant information at a later stage.

Economic and financial standing

Requirement

The tenderer's economical standing and financial solvency is sufficiently stable to provide the customer with the services that are the object of the contract.

Hansel is using the services of Dun & Bradstreet, Inc. (D&B) to analyze tenderer's financial situation. The tenderer must have Risk Indicator 3 or better in the D&B risk indicator at the end of the tendering period. If the Risk Indicator of the tenderer does not meet the above-mentioned rates, Hansel may exclude the tenderer.

In case the tenderer's data is not available in D&B's database, Hansel can use another international service provider.

Hansel may also require the tenderer to provide Hansel with the last audited financial statement for analysing purposes.

If the tenderer is a consortium, these requirements shall be met by each of its members individually.

We agree that Hansel has the right to examine the tenderer's financial credit information through the services provided by Dun & Bradstreet (D&B).

Payment of taxes and social security fees and exclusion criteria in the Act on Public Contracts

The tenderer has fulfilled obligations relating to the payment of taxes or social security contributions in Finland or in the country in which it is established. The obligations shall be fulfilled by the deadline for the receipt of the tenders. The tenderer is not subject to exclusion criteria as defined in Section 53 of the Act on Public Contracts.

If the tenderer is a consortium, these requirements shall be met by all its members individually.

The tenderer shall take into account when drawing up its tender the obligations relating to taxes, to environmental protection and to working conditions as defined in Section 50 of the Act on Public Contracts.

The tenderer assures:

1) that it has paid all the taxes and social security payments; and if there is tax debt or unpaid social security payments, the tenderer shall provide all necessary statements (scheme of payment) if requested.

2) that a person having powers of representation, decision or control in respect of the tenderer has not been convicted by judgement that has the force of res judicata for any offence concerning his professional conduct as specified in Section 53 of the Act on Public Contracts.

3) that it has taken into account, when drawing up its tender, the obligations relating to taxes, environmental protection, employment protection and the working conditions which are in force in the place where the service is to be provided.

Subcontracting

Information to be provided

The tenderer shall provide the following information of its subcontractors:

- name of the company

- Company registration number/VAT number

- contact person (name and position, phone, e-mail, address

- description on how the subcontractor take part on the services that are the object of the contract

If tenderer uses subcontractors, it shall attach to its tender Appendix 6 Subcontractors in which it gives the required information.

If the tenderer uses subcontractors, it assures that the tenderer and its subcontractors meet the requirements concerning the registration of the company, economic and financial standing, payment of taxes and social security fees and exclusion criteria presented in the Act on Public Contracts in a way that is referred to in the tender form.

If the tenderer uses Subcontractors the tenderer annexes to the tender the Annex 6 “Subcontractors” of the invitation to Tender.

Evidence of deliveries and services provided (References)

The tenderer shall provide the following information about the references that meet the requirements:

- The name of the academic or scientific library that the books have been delivered to, contact person name and contact information.

- Brief description about the books delivered.

- Duration of the customer relationship (shall be during 04/2011-04/2013).

- The value of the service (shall be at least 20 000 EUR VAT 0%).

The tenderer assures it meets the requirement and provides the required information in the tender form.

Quality assurance

The tenderer shall annex to the tender a generic description about the quality assurance system that it has in use when providing the agency service. The description shall include answers to the following questions:

1. how does the tenderer assure that the services provided will meet the customers' requirements

2. how does the tenderer handle customers' complaints (how are the complaints documented, what are the following procedures)

3. how does the tenderer assure high customer satisfaction and delivery reliability

The quality assurance system shall be auditable.

The tenderer assures it meets the requirement and annexes to the tender the required information.

Environmental management measures

The tenderer shall provide the following information about the environmental management measures that meets the requirements mentioned above:

- In which way the tenderer pays attention to the environmentally friendly packaging of products

-What actions the tenderer has taken in order to reduce the CO2 emissions caused by the deliveries of goods

Subcontracting

Subcontractors' resources which are listed in the tender shall be available to the tenderer. The tenderer commits to the terms and conditions concerning subcontracting presented in annex 3 (framework contract). The subcontractors listed on this tender form will be named in the contract. The service provider's possibility to remove and/or add subcontractors is restricted (see framework contract).

The tenderer shall list the subcontractors which take part in providing the services that are specified in this invitation to tender.

Evidence of deliveries and services provided (References)

The tenderer or its subcontractors shall present evidence of providing comparable services which are described in subject-matter of the framework agreement annex of the invitation to tender.

The tenderer shall have:

- References that concern book agency service for customers

- The tenderer shall have at least five (5) references

- At least three (3) of the references shall concern an academic or scientific library as a customer

- The references shall be from the past three (3) years (04/2011-04/2013)

- The value of the reference should be at least 20 000 EUR a year per customer

If the tender is made as a consortium, members of the consortium may fill the requirements together.

Quality assurance

The tenderer shall follow quality assurance measures when providing the agency services. The tenderer shall have a quality assurance system in use.

Environmental management measures

The tenderer shall apply environmental management measures when providing the services. The tenderer shall pay attention and try to minimize the environmental impact the services have. This can be done i.e. by reducing the use of energy and actions that are environmentally harmful.

The duration of the framework agreement is four years. The Customer-specific contract can remain valid three (3) months after the Framework Contract. Orders made by Customers for Products under the Framework Contract shall be made within the period of validity of the Framework Contract or the Customer-specific contract so that the Products are delivered not later than three (3) months after the termination of the Framework Contract or the Customer-specific contract.
